Cooperation Agreement for Physicians

1. Parties and subject matter

This cooperation agreement is concluded between BGGI GmbH, Rostocker Straße 43, 53117 Bonn, HRB 26753 Local Court Bonn (“BGGI”), and the physician who accepts it digitally via the BGGI Health platform (“Physician”).

Its subject is the cooperation in arranging, organising and handling medical treatments for patients cared for via the platform health.bggi.eu.

2. Position of the physician

The Physician acts as an independent professional on their own responsibility. No employment, corporate or commercial-agent relationship is created.

Medical treatment is provided solely under the Physician's responsibility; the treatment contract is concluded directly between Physician and patient. BGGI does not provide medical treatment but arrangement, organisation and support services.

3. Platform commitment and non-circumvention

(1) For patients whose contact with the Physician was established via the platform (“referred patients”), all services initiated via the platform — consultation, second opinion, video consultation, treatment organisation and booked support services — are handled and billed via the platform.

(2) The Physician will not treat referred patients outside the platform for the same treatment episode, will not pass them on to third parties and will not induce them to bypass the platform. This applies for the term of this agreement and for twelve months after the last contact arranged via the platform.

(3) The patient's free choice of physician, the Physician's statutory and professional duties (in particular emergency treatment) and treatment relationships that demonstrably existed or arose independently of the platform remain unaffected.

(4) If the Physician bypasses the platform contrary to paragraph 2, BGGI's remuneration claim from the respective referral remains in force. BGGI may request information on the services rendered insofar as this is necessary for billing and permissible under data protection law. The amount of any liquidated compensation will be agreed separately. [Placeholder — to be determined by legal counsel]

4. Remuneration and billing

The Physician sets their own fees for consultation, conversation and video services in the platform. BGGI charges a service fee (markup) on services handled via the platform, shown transparently to the Physician in the platform.

Billing and payout of the physician's fee follow the conditions stored in the platform.

5. Duties of the physician

The Physician warrants: a valid licence to practise, sufficient professional liability insurance, compliance with medical professional law and confidentiality, truthful profile and price information, and careful, timely handling of cases assigned via the platform.

6. Duties of BGGI

BGGI provides the platform, organises support services on request (e.g. interpreting, transfer, appointment organisation), handles the processing of services booked via the platform and names a contact person for the Physician.

7. Data protection

The parties comply with the GDPR and the German Federal Data Protection Act. The Physician is an independent controller for the treatment; BGGI is the controller for operating the platform. Where necessary, the parties conclude supplementary agreements (e.g. on processing).

The Physician uses personal data of referred patients exclusively for treatment and for handling via the platform — not for own advertising.

8. Confidentiality

The parties keep business secrets, conditions and non-public information of the other party confidential. This obligation survives the end of the agreement.

9. Term and termination

The agreement begins upon digital acceptance and runs for an indefinite period. Either party may terminate it in text form with one month's notice to the end of a month; the right to extraordinary termination for good cause remains unaffected.

Ongoing treatments already referred will be duly completed.

10. Professional-law proviso

All provisions of this agreement apply only to the extent compatible with medical professional law and mandatory law. In particular, the free choice of physician remains unaffected; no provision is to be understood or applied as referral of patients for remuneration within the meaning of § 31 of the (Model) Professional Code for Physicians in Germany.

11. Final provisions

The law of the Federal Republic of Germany applies. Place of jurisdiction, where permissible, is Bonn. Should individual provisions be invalid, the remainder of the agreement remains effective; the invalid provision is replaced by the permissible provision closest to the economic intent.

Amendments require text form. The German version of this agreement prevails; translations are for information only.
